Acceptable Use Policy

1. Purpose and Scope

This Acceptable Use Policy (the "Policy") describes conduct and content that are prohibited on the FileBackerz service. It applies to you, to every Member you invite, and to anyone accessing the Service through your account or through a link you share.

You are responsible for your Members' compliance with this Policy. If a Member violates it, we treat that as your violation.

Capitalized terms have the meanings given in the FileBackerz Terms of Service. Where this Policy conflicts with the Terms of Service, the Terms of Service prevail.

We may update this Policy as the Service evolves and as new forms of abuse emerge. Material changes will be notified in accordance with the Terms of Service.

2. The Short Version

Do not use FileBackerz to store or share anything illegal. Do not use it to harm anyone. Do not use it to attack, overload, or reverse engineer the Service. Do not use it to resell storage to other people. Do not upload regulated data we have not agreed to handle.

The rest of this Policy is the detail. If something is not listed but is obviously abusive, assume it is prohibited and ask us at [email protected] if you are unsure.

3. Prohibited Content

You may not upload, store, transmit, share, or link to content that:

• is unlawful, or that promotes, facilitates, or provides instructions for unlawful activity;
• sexually exploits or endangers a minor in any way, including child sexual abuse material. See Section 8;
• infringes or misappropriates any copyright, trademark, patent, trade secret, moral right, right of publicity, or other proprietary right;
• is defamatory, libelous, or knowingly false in a way that damages another person;
• harasses, bullies, threatens, stalks, or intimidates any person, or incites others to do so;
• promotes or incites violence, terrorism, or unlawful discrimination on the basis of race, ethnicity, national origin, religion, sex, gender identity, sexual orientation, disability, or any other protected characteristic;
• contains malware, ransomware, viruses, worms, trojans, keyloggers, exploit kits, or any other malicious or destructive code;
• consists of stolen credentials, stolen financial data, exfiltrated corporate data, or other material obtained unlawfully;
• is designed to deceive, including phishing kits, fraudulent invoices, counterfeit documents, and forged identification;
• violates the privacy rights of any person, including material published without a required consent; or
• you do not have the legal right to store or share.

Lawful adult content is permitted for private storage but may not be shared publicly through the Service, and may not be commercially distributed using the Service.

The Service is a general-purpose business file platform. It is not configured, audited, or offered as a compliance solution for the categories below. You may not upload, store, or transmit:

You are solely responsible for determining whether your intended use involves a restricted category, and for obtaining the necessary agreement before you upload. If you are unsure, ask before you upload, not after.

If we determine in good faith that restricted data has been introduced in breach of this Section, we may suspend access, require you to remove the data, or delete the affected content, and you will indemnify us for any resulting claim.

6. Fair Use of Unlimited Members and Storage

Our plans include unlimited Members. That means unlimited for your organization. The following conditions apply, and use inconsistent with them is a violation of this Policy:

• Each Member must be a distinct natural person with their own unique email address.
• Shared, generic, group, or role-based credentials are prohibited. Credentials may not be passed between individuals or used concurrently by more than one person.
• You may not resell, sublicense, rent, lease, or otherwise provide Member access to third parties as a standalone service, nor operate a storage, backup, or file-sharing service for others using your account.
• Members must be provisioned in connection with your own business — your employees, contractors, clients, vendors, auditors, and counterparties. The Service may not be used to provision accounts for the general public.
• You may not create multiple accounts to circumvent storage limits, trial limits, or any other restriction, or to obtain more than one free trial.

Where Member counts or usage patterns are materially inconsistent with your stated organization type or size, we may ask you to explain, may apply reasonable limits, and may suspend or terminate access if we conclude in good faith that this Section has been breached.

Storage and transfer are subject to the allotments in your plan and to the technical limits we publish: a maximum of 50 MB per individual file upload, 100 MB per upload through a share link or file request, 2 MB per branding asset, and 50 retained versions per file. We may apply reasonable rate limits to the API and will publish them in our documentation.

7. Third-Party and Connected Storage

When you connect third-party storage — Amazon S3, Microsoft Azure, Google Cloud Storage, Google Drive, or similar — you must have the right to use that account and to store the content you place in it. You are responsible for its configuration, permissions, credentials, availability, and cost.

You may not connect storage you do not control, and you may not use a Connected Storage integration to access, index, or exfiltrate data belonging to a third party without authorization.

We may suspend or disconnect an integration without notice if it appears misconfigured, compromised, publicly exposed, or is causing instability.

8. Child Safety and Mandatory Reporting

FileBackerz has zero tolerance for child sexual abuse material ("CSAM") and for any content that sexually exploits or endangers a minor.

We use automated and manual techniques to detect such material. If we obtain actual knowledge of apparent CSAM, we are required by 18 U.S.C. § 2258A to report it to the CyberTipline of the National Center for Missing & Exploited Children, and may be required to preserve the content and associated account records.

In those circumstances we will terminate the account immediately and without notice, will preserve rather than delete the affected content notwithstanding any other policy, may disclose account information to law enforcement, and will not provide any export period or refund.

To report suspected child exploitation on the Service, contact [email protected] immediately. Do not download, copy, or forward the material.

9. Reporting a Violation

Please include the share link or account identifier, a description of the issue, and your contact details. We investigate reports we receive but do not guarantee a particular outcome, and we may not be able to tell you what action we took.

10. How We Enforce This Policy

We may take any of the following actions, in our sole discretion, where we determine in good faith that this Policy has been violated:

• Contact you and request that you remedy the issue;
• Remove or disable access to specific content, or disable specific share links;
• Apply rate limits or other technical restrictions;
• Suspend the account or specific Members, in whole or in part;
• Terminate the account; and
• Report the matter to law enforcement or other authorities.

Where practicable and where the circumstances allow, we will give notice and an opportunity to remedy before suspending or terminating. We may act immediately and without notice where the violation involves apparent unlawful content, an active security threat, a risk of harm to any person, exposure of us or a third party to liability, or a legal obligation to act.

Termination for violation of this Policy is termination for cause. No refund is due, and the thirty-day data export period described in the Terms of Service does not apply.

Our decision not to enforce a provision in a particular case is not a waiver of our right to enforce it later.

11. Questions

If you are unsure whether an intended use is permitted, ask us before you begin. We would rather answer a question than enforce this Policy.
